Terms of Service

These Terms of Service (“Terms”) govern your use of GradIQ, operated by Kidus LLC at gradiq.ai. By creating an account or using the service, you agree to these Terms. If you use GradIQ on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Acceptance of Terms

By accessing or using GradIQ, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you do not agree, do not use the service.

2. Service Description

GradIQ is an AI-powered recruiting intelligence platform operated by Kidus LLC. It aggregates publicly available job postings from company career pages and third-party sources, scores them against your profile using algorithmic matching, and generates tailored application materials — including resumes, cover letters, networking messages, and interview preparation — using AI.

GradIQ is a job-search assistance tool, not a placement service, staffing agency, or recruiting firm. GradIQ does not submit job applications on your behalf. You decide whether, when, and where to apply.

3. AI-Generated Content

All content GradIQ generates — including resumes, cover letters, match scores, networking suggestions, interview preparation, and any other AI output — is produced by automated AI systems. These systems can and do make mistakes, including factual errors, omissions, and inaccuracies. Generated content may resemble content generated for other users.

GradIQ is designed to tailor and reframe information you provide, not to create false credentials or experience. You are solely responsible for carefully reviewing, verifying, editing, and approving all AI-generated content before using or submitting it anywhere. GradIQ makes no warranty as to the accuracy, completeness, or suitability of any AI-generated content.

4. Job Data Accuracy and Non-Exhaustiveness

Job listings displayed on GradIQ are aggregated from third-party sources and may be incomplete, outdated, miscategorized, or contain errors — including missing descriptions, incorrect dates, mismatched graduation years, wrong locations, or misclassified roles.

The job list shown on GradIQ is not exhaustive and must never be considered a complete or authoritative list of available opportunities. You must verify all job details, requirements, deadlines, and application instructions on the employer’s official career page before relying on them or applying.

Some job postings may be incomplete, may lack full descriptions, requirements, compensation, or other details, and may be sourced from third parties or contributed by other users. GradIQ does not guarantee that any listing reflects the complete, accurate, or current terms of a role. You should verify all job information directly on the employer’s official website before relying on it or applying.

5. Eligibility Is Your Responsibility

Match scores and eligibility indicators shown in GradIQ are algorithmic estimates only. GradIQ does not guarantee that you qualify for any role shown. You are solely responsible for confirming that you meet all eligibility requirements — including class year, GPA, work authorization and sponsorship requirements, and any other criteria stated by the employer — directly with the employer before applying.

6. No Guarantee of Outcomes

GradIQ does not guarantee any interview, offer, internship, employment, or other specific result. It is a tool to assist your job search, not a placement service, and cannot control, predict, or influence any employer’s hiring decisions.

Employment and recruiting decisions are made solely by employers based on numerous factors entirely outside GradIQ’s knowledge or control — including the volume and quality of other applicants, the employer’s internal criteria, timing, interviews, and subjective judgment. GradIQ has no role in and no influence over these decisions.

You acknowledge that any failure to receive an interview, internship, offer, or employment — whether you applied to one position or many — shall, to the maximum extent permitted by law, not be attributed to GradIQ, its match scores, or any resume, cover letter, or other content generated by the service. You use all GradIQ-generated content at your own discretion and risk and are solely responsible for deciding whether and how to use it.

7. No Employer Affiliation and Third-Party Data Sources

GradIQ is not affiliated with, endorsed by, or partnered with any employer or firm whose postings appear in the service. GradIQ has no control over and no responsibility for employers’ hiring decisions, application processes, deadlines, or whether any posting remains open.

Job listings originate from external job boards and applicant tracking systems that GradIQ does not control. These sources may add, remove, or modify postings at any time without notice to GradIQ.

All employer names, logos, trademarks, and job-posting content are the property of their respective owners. Their appearance in GradIQ does not imply sponsorship, affiliation, endorsement, or partnership.

8. Not Professional Advice

GradIQ does not provide career counseling, recruiting advice, immigration advice, legal advice, or financial advice. Nothing in the service or generated by the service constitutes professional advice of any kind. You should consult qualified professionals for advice specific to your situation.

9. Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You are responsible for the accuracy and currency of your profile, resume, and all other data you submit. You agree to keep your profile information reasonably up to date. Match quality and the usefulness of generated materials depend directly on the accuracy of your information. Providing false or inaccurate information degrades your results.
• You agree to notify us immediately of any unauthorized access to your account at [email protected].

10. Payment Terms

Core features — daily job scanning, AI match scoring, and morning brief emails — are available at no cost.

Application package credits unlock the generation of tailored resumes, cover letters, networking messages, and interview preparation for a specific role. Credits are purchased through Stripe and credited to your account upon successful payment. Current pricing is displayed at the time of purchase.

A credit is consumed when generation of an Application Package begins. Because AI processing resources are expended at the start of generation, credits are non-refundable once generation has begun, regardless of whether you use, download, or are satisfied with the output.

Credits that have not been used remain in your account. GradIQ reserves the right to change credit pricing at any time; changes apply to future purchases only and do not affect credits already purchased.

All purchases are processed by Stripe. GradIQ does not store payment card details.

11. Acceptable Use

You agree not to:

• Use GradIQ-generated materials to misrepresent your qualifications, fabricate experience or credentials, or submit fraudulent job applications.
• Impersonate any person or entity, or falsely represent your identity or affiliation.
• Use the service to submit applications on behalf of someone else without their knowledge and consent.
• Violate the terms of service, application policies, or technical restrictions of any employer, job board, or applicant tracking system.
• Attempt to scrape, harvest, reverse-engineer, or systematically extract data from the platform.
• Access or attempt to access another user’s account or data.
• Introduce malware, viruses, or other harmful code into the platform.
• Interfere with or attempt to disrupt the security, integrity, or availability of the service or its infrastructure.
• Use the service to send unsolicited commercial messages or spam.
• Use the service in any manner that violates applicable federal, state, or local laws or regulations, or that facilitates unlawful discrimination.

12. User-Submitted Job Content

GradIQ may allow you to paste, upload, or otherwise input job descriptions, postings, or other third-party content so that GradIQ can classify, score, summarize, and match it. You are solely responsible for any content you input. You represent and warrant that you have the right to input such content and that doing so does not infringe any copyright or other intellectual property right, violate the terms of service of any website or third party, or breach any confidentiality, contractual, or legal obligation. You agree not to input content you are not permitted to copy, share, or redistribute. GradIQ processes content you input at your direction and in reliance on these representations.

GradIQ includes community-contributed job information. When you input job content, GradIQ may store, process, and make available to other users information derived from that content, including GradIQ-generated classifications, summaries, scores, and extracted job details such as title, employer, location, and deadline. By inputting job content, you grant GradIQ a license to use it for these purposes to the extent you have the right to grant such a license. You acknowledge that you cannot grant rights you do not hold, and that you are responsible for ensuring you have the necessary rights before inputting content.

13. Intellectual Property

The GradIQ platform, including its scoring algorithms, interface, and generated content templates, is owned by Kidus LLC.

User Content and License. You retain all rights to the original resume, profile data, and other content you submit to GradIQ (“User Content”). By submitting User Content, you grant Kidus LLC a limited, non-exclusive, royalty-free license to process, store, and use your User Content solely to provide and improve the GradIQ service. We do not sell your User Content or use it to train AI models.

Application Materials and AI Outputs. Application materials generated using your profile data and resume — including tailored resumes, cover letters, networking messages, and interview preparation notes — are provided for your personal use in job applications. You own the content to the extent it reflects your original information. Kidus LLC does not claim copyright in AI-generated output produced on your behalf. GradIQ makes no representations about the originality of AI-generated content and is not responsible for how generated materials are received, evaluated, or used by employers or others.

14. Service Provided “As Is”

The service is provided “as is” and “as available” without warranties of any kind, express or implied. GradIQ does not warrant that the service will be uninterrupted, timely, secure, or error-free, or that automated scans will run on any particular schedule. GradIQ reserves the right to modify, suspend, or discontinue any part of the service — including features and pricing — at any time without liability.

15. Limitation of Liability

To the maximum extent permitted under North Carolina law, the total liability of GradIQ and Kidus LLC for any and all claims arising out of or relating to the service shall not exceed the greater of (a) the total amount you paid to GradIQ in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

In no event shall GradIQ or Kidus LLC be liable for any indirect, incidental, consequential, special, or punitive damages — including lost employment opportunities, lost profits, reputational harm, or any other economic loss — arising from your use of or inability to use the service, even if advised of the possibility of such damages.

Some jurisdictions do not allow certain limitations on implied warranties or exclusions of certain damages, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless GradIQ and Kidus LLC, and their respective officers, employees, and agents, from and against any claims, losses, liabilities, damages, and costs (including reasonable attorneys’ fees) arising from: (a) your use of the service; (b) content you submit to the platform; (c) your use of generated application materials; (d) your violation of these Terms; or (e) your violation of any third party’s rights or terms.

17. Termination

You may delete your account at any time from account settings or by emailing [email protected]. We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice. Upon termination, your right to use the service ceases immediately.

After termination, we may retain certain information as described in our Privacy Policy, including records needed for legal, security, fraud-prevention, payment, or dispute-resolution purposes.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or by a notice on the platform at least 7 days before they take effect. Continued use of GradIQ after the effective date constitutes acceptance of the updated Terms. GradIQ reserves the right to make changes effective immediately where required for legal, security, or regulatory compliance reasons.

19. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Mecklenburg County, North Carolina, except where prohibited by applicable law.
